Polkadot Community Foundation Directors
1. Context and Purpose
The Bylaws of the Polkadot Community Foundation (PCF) establish a five-member board of directors. Three of these directors, named PCF Foundation Directors, were chosen by the Foundation as per the approved Opengov proposal and are required to be residents of the Cayman Islands. The remaining two positions, named PCF Community Directors, are vacant and are designated for directors elected by the community, tasked with acting as a direct link between the Polkadot Community and the Foundation.
This proposal aims to define a clear and functional framework for the nomination of these two PCF Community Directors, their role, and the procedures for their removal, ensuring the process is transparent and unambiguous.
2. Role of PCF Community Directors
The two directors operate at the service of the community as facilitators. Their main responsibilities include:
Communication Bridge: Acting as the main point of contact between the community and the PCF, ensuring a clear, bidirectional flow of information.
Proposal Guidance: Supporting the community in preparing Proposals that require PCF involvement, ensuring compliance with PCF and OpenGov procedures.
Execution Oversight: Monitoring the progress of approved Proposals and ensuring the PCF executes them promptly.
3. Code of Conduct
Directors must adhere to a code of conduct based on Web3 values, acting with:
Transparency: Directors commit to open operations and regular updates. They will share all information with the community (if requested), except for confidential data protected by NDAs.
Neutrality: Directors must act without personal bias, favoritism towards specific projects, or influence from any single entity. Their decisions will be based solely on what benefits the entire Polkadot ecosystem and in accordance with the indications contained in the approved OpenGov proposals.
Integrity: Directors will act with honesty, ethics, and a high degree of responsibility. They must avoid any conflicts of interest and commit to making decisions that are always in the best interest of the Polkadot Community and its stakeholders.
4. Appointment Process
Candidates can run for a position one at a time.
Candidacy: Nominations must be submitted via a “Proposal Wish for Change”.
Process: Any individual may run for one of the two available positions.
Requirements: Candidates should have a deep understanding of the ecosystem, a clear commitment to the role and, preferably, a minimal managerial experience.
Management of Competing Proposals: A proposal to fill a vacant director position can only be executed if that position is currently empty. The first proposal to be approved by the community via OpenGov will fill the vacant spot. Any subsequent proposals for that specific position will not be executed unless the position becomes vacant again.
5. Removal Process
The removal of a director can be proposed by any Tokenholder via a “Proposal Wish for Change”, with a detailed justification.
Continued Operation: If one of the two directors is removed, the remaining director will continue to operate alone.
Vote: The removal is effective only after it has been approved by the community via OpenGov.
Re-election: In the event of a removal, the opportunity for a new nomination process for the single vacant position will be opened for candidates to initiate.
The rapid election of these two directors is fundamental to honor the community’s decision and ensure effective communication with the PCF, preventing the problems encountered in the past.
